Locaylo Ltd
Professional Terms
Effective date: 12 October 2026
Version: invited-testing-r4
Parties and marketplace role
Locaylo Ltd (company number 17445282, registered in England and Wales, registered office 167-169 Great Portland Street, 5th Floor, London W1W 5PF) operates the Locaylo marketplace. These terms apply when you offer services as a professional or business. The service is currently limited to invited testers; paid bookings may be unavailable until separately enabled. We will publish a new revision if the rules change before wider launch. Everyone accepts the Terms of Service when registering; their general account, content and platform-use rules also apply to you. These Professional Terms add the rules for work you offer and supply. If the two sets of terms conflict about that work, these Professional Terms govern it. If you book a service for yourself, the customer-booking provisions of the Terms of Service apply to that booking. Neither document removes mandatory rights or obligations.
Unless a listing expressly says otherwise, you contract with the customer to supply the underlying work; Locaylo provides marketplace technology and related support. Using the platform alone does not make you an employee or agent of Locaylo. This wording does not decide a legal employment-status question contrary to the facts.
Eligibility and accurate information
You must provide accurate identity, business, tax, contact, service and payment information and keep your profile, prices, service area and availability current. Before offering online service contracts, self-confirm a genuine geographical business or trading address for disclosure to signed-in prospective customers and for the booking record. The written address is not displayed as text in public search. If you offer store-only appointments, you may choose to show a precise customer-visit pin in public search, which may reveal your premises or home address. This choice is off by default and can be withdrawn in the app; travel-to-customer profiles cannot use it. If customers visit your premises for a store-only service, you may use the same confirmed address as the appointment destination. A customer's address for work at their premises is separate. Keep your business address current and do not substitute Locaylo's registered office for your own trading address. Offer only work you are competent and legally permitted to perform. Do not allow another person to perform a booking under your account unless the product and customer expressly permit it. Locaylo does not guarantee any number or value of bookings.
Keep your sign-in details secure and tell Locaylo promptly if you suspect unauthorised access. Do not let another person use your account to message customers, accept work or submit evidence. You are responsible for activity you authorise, but not for a failure by Locaylo to meet its own legal obligations.
Our separate Privacy Policy explains how Locaylo uses professional and customer information and how to exercise data-protection rights. Agreeing to these terms does not turn optional data uses into consent.
Identity, insurance and task permissions
Complete the checks required for your approved services. A current shared identity decision may be reused while valid, but a prior category approval does not by itself prove competence or insurance for a new task. Provide current task-specific evidence, licences, registrations and applicable insurance when requested. Tell Locaylo if anything expires, is revoked or no longer covers the work. A profile badge or category name does not permit excluded tasks. Assess the job and site, use appropriate methods and stop unsafe or uncertain work. Do not expand the agreed scope through a quote or message to include excluded work.
You remain responsible for maintaining any insurance, registration, licence or qualification required by law for the work you actually undertake, as well as additional cover or evidence Locaylo specifies for an enabled task. Check that your cover applies to the activity, location and people involved, and tell us promptly of a material exclusion or change. Customer answers to job-scope questions do not transfer your professional safety duties to the customer. Do not disturb suspected asbestos or undertake unapproved gas, electrical, structural, safeguarding or other restricted work through a broader category.
Only enabled categories and tasks expressly approved for your account may be published or accepted. An existing identity approval can be reused while current; insurance and competence evidence must cover each newly requested task. The app shows which categories are available to you; a category name alone does not authorise work outside your approved tasks.
Quotes, bookings and changes
Explain the scope, assumptions, price and material conditions before accepting a booking. For fixed-price work, your acceptance of the customer's final request forms the service contract. For quoted work, the customer first accepts your quote and selected payment plan; your subsequent acceptance forms the contract. Accepting a recurring series covers its displayed agreed occurrences. The current app does not alter an accepted booking's scope, price or payment stages in place; changed work or charges require a new booking and customer agreement, with the existing booking handled under applicable cancellation and refund rights. A change to an accepted recurring appointment time or a confirmed flexible-work visit must be proposed in the app and accepted by the other party. Payment authorisation and settlement are separate later events.
If a project involves a deposit, staged payments or specially ordered materials, identify each amount and payment point clearly before the customer commits. Do not describe a deposit as automatically non-refundable, demand a disproportionate advance payment, or incur a claimed non-recoverable cost without first explaining and agreeing the relevant term. Keep invoices or other reasonable evidence if you later claim a genuine cost. A message or verbal discussion does not by itself change an accepted booking or authorise an additional in-app charge.
Platform fee and payment costs
When paid bookings are available, the platform fee is 10% of the booking service amount. It is deducted from that amount, not added to the customer's price: on a £100 service, the ordinary allocation is £90 to you and £10 to Locaylo, before lawful refunds or exceptional adjustments. Where VAT applies to Locaylo's platform service, it is included within the stated 10% fee rather than added to it. Locaylo absorbs standard payment-processing costs within its platform fee and does not ordinarily deduct a second processing fee from your share. Any future fee change would apply prospectively with notice and disclosure, not retrospectively to completed transactions.
The 10% example is the ordinary allocation, not an estimate of your tax liability or a guarantee against lawful refunds and individually reviewed adjustments. Locaylo is not currently VAT-registered and does not charge VAT on its fee at present. If its VAT status changes, any VAT applicable to Locaylo's platform fee will be included within, not added to, the stated 10%.
Payments and payouts
Payments and payouts are handled through a third-party provider. You may have to complete that provider's onboarding and ongoing checks separately from Locaylo's service verification. The app may use a single payment or agreed deposit and later stages. Later stages require the customer's separate payment action; they are not automatically charged off-session under the current design. Payout arrival is an estimate, not a guaranteed date, and can be affected by provider checks, refunds, disputes, fraud controls or legal requirements. Do not describe this arrangement as escrow.
Refunds, chargebacks, negative balances and suspected fraud are reviewed against the transaction record, evidence, applicable law and the payment-provider agreement. Locaylo will not automatically transfer every dispute loss or provider penalty to you. We may reverse a payment and its related platform fee when a refund is due; any further recovery or reserve must have a clear contractual basis, notice and review route. We will not describe a refund request as completed until the payment provider confirms its outcome.
An accepted booking does not make its proceeds immediately payout-eligible. Completion, an unresolved qualifying complaint, payment-provider verification, a refund, chargeback, fraud concern or legal requirement may affect when the relevant amount can be paid, subject to the actual payment arrangement and applicable law. We will consider responsibility and cause before assigning a dispute loss; a loss arising from Locaylo's own error is not automatically yours. If you disagree with a material payout or recovery decision, use the support route and provide relevant records for review.
Cancellations and service quality
Accept bookings and manage them in the Locaylo app. Accept only work you can reasonably perform. If you cannot attend or complete an accepted booking, use Cancel booking in the app promptly; Locaylo records the cancellation and notifies the customer in the app and, where delivery is available, by email. An email or conversation message is not the ordinary way to create or cancel a booking or update its payment record. If a customer nevertheless sends you a clear statutory cancellation notice directly, promptly pass it to Locaylo with the original received time and relevant booking reference so the booking and payment records can be corrected. The customer's statutory notice is not ineffective merely because they did not use the app, and you must not insist that they contact you as Locaylo's ordinary route. Locaylo's launch policy has no automatic customer cancellation or no-show charge. A pre-work cancellation normally results in a request for a full refund of captured service payments. Work already supplied, materials and disputes require a reasoned review subject to consumer law; a deposit is not automatically non-refundable. A provider refund is not complete until confirmed. Repeated no-shows or materially unreliable conduct may affect your account.
Messages, content, reviews and safety
Use your profile, gallery, messages and attachments for genuine service activity. Give customers accurate information about your identity, approved work, availability, price and any relevant limitations. Do not impersonate someone else, mislead a customer, harass or threaten anyone, or upload illegal, abusive, fraudulent or unsafe content. Do not ask a customer to send passwords, complete payment-card details or unnecessary identity documents in a conversation. A message does not change an accepted booking's scope, price, payment stages or cancellation status; use the relevant in-app booking action and obtain the customer's agreement where required.
You keep ownership of content you submit, but allow Locaylo to store, display, transmit and moderate it as needed to operate the marketplace and enforce its rules. Do not upload material you have no right to use or expose another person's private information without a proper reason. Keep customer information you receive for a booking secure, use it only as needed to arrange and perform that service or meet a legal obligation, and do not use it for unrelated marketing. Where you independently decide how to use that information for your business, you are responsible for your own applicable data-protection duties; Locaylo remains responsible for its own processing.
Act lawfully and respectfully, protect customer property and report significant safety incidents or concerning content through the app. You may block a booking participant from messaging, but blocking does not cancel the booking, change a payment or replace a safety report. Locaylo may review reports and take proportionate action, including removing content or restricting an account, subject to the available review route. For immediate danger, contact emergency services.
Use a customer's contact, address and job information only as reasonably needed to arrange and perform the booking or meet a legal obligation. Do not publish it, solicit unrelated marketing, or move a booking or payment outside Locaylo to bypass a service restriction, safety check or agreed payment. Do not fabricate verification documents or booking evidence, conceal a serious incident, or use another person's account or payment details. Only upload images, descriptions and other material you have permission to use; do not infringe another person's privacy or intellectual-property rights.
Do not manipulate reviews, create fake bookings, buy positive reviews, offer an undisclosed benefit for favourable feedback, pressure customers or retaliate for genuine feedback. You may respond to a review or report one for investigation, but Locaylo does not remove a genuine review simply because it is negative. Follow the Review Policy and Online Safety and Content Policy.
Tax information and reporting
You are responsible for your own tax, National Insurance, VAT and business records. Locaylo may have to collect, verify, retain and report seller information and platform earnings to HMRC under applicable digital-platform rules. Provide accurate information reasonably requested and keep it updated. A Locaylo statement or report does not determine whether you owe tax or replace professional tax advice.
Restrictions, termination and responsibility
Locaylo may restrict or suspend an account where reasonably necessary for safety, fraud, expired credentials, serious complaints, payment risk, legal compliance or breach of these terms. Where appropriate, we will explain the reason and review route. We may change these terms prospectively with appropriate notice; changes do not remove rights or obligations already accrued on an existing booking. Each party remains responsible for liabilities imposed on it by law. You are responsible for the services you supply and for losses caused by your breach, negligence or unlawful conduct; Locaylo remains responsible for its own acts and legal duties. These terms do not impose a general indemnity or liability cap.
Urgent protective action may be taken before an investigation is complete where needed to protect users, evidence or the platform. Such action is not by itself a finding that you broke the law or these terms. You may use Help and support to provide relevant new evidence or request review of a material decision, unless disclosure or review is legally restricted.
